3. Wholesale Account Registration

Our wholesale services are available only to registered business customers. To register:

  • You must provide accurate business information
  • Your application will be reviewed by our team
  • Approval typically takes 24-48 hours
  • We reserve the right to refuse any application
  • Approved accounts receive access to wholesale pricing and ordering

4. Pricing and Payment

Wholesale Pricing: All prices are listed in EUR (€) and are exclusive of VAT unless otherwise stated.

Payment Terms:

  • New customers: 100% payment upfront via bank transfer
  • Established customers: Net 30 payment terms may be available upon approval
  • Accepted payment methods: Bank transfer, credit card (for approved accounts)
  • Late payments may incur a 2% monthly interest charge

5. Minimum Order Quantities (MOQ)

Each product has a specified MOQ indicated on the product page. We manufacture our bags in small batches to maintain quality, and MOQs ensure production efficiency.

6. Orders and Confirmation

  • All orders are subject to our acceptance and product availability
  • We will send an order confirmation email upon acceptance
  • Orders cannot be cancelled once production has commenced
  • We reserve the right to refuse or cancel any order

7. Production and Delivery

Lead Times: Standard production time is 8-12 weeks from order confirmation. Custom orders may require additional time.

Shipping:

  • We ship worldwide via DHL, UPS, or FedEx
  • Shipping costs are calculated based on destination and order size
  • Delivery times are estimates and not guaranteed
  • Risk of loss passes to buyer upon delivery to carrier

8. Returns and Exchanges

Manufacturing Defects: We stand behind our craftsmanship. If you receive a defective product:

  • Notify us within 7 days of receipt
  • Provide photos of the defect
  • We will arrange return shipping and provide replacement or refund

Non-Defective Returns: Due to the made-to-order nature of our products, we do not accept returns of non-defective merchandise unless agreed upon in writing.

9. Intellectual Property

All designs, trademarks, and intellectual property remain the exclusive property of MADNESS S.R.L. Customers are granted limited rights to market our products as authorized retailers only.

  • You may not copy, reproduce, or manufacture similar designs
  • Marketing materials provided are for approved use only
  • Unauthorized use may result in account termination and legal action

10. Territory and Exclusivity

We operate an authorized retailer program. Territory exclusivity may be granted on a case-by-case basis and must be negotiated separately.

11. Product Information and Photography

We provide high-quality product photography and descriptions. Please note:

  • Colors may vary slightly due to screen settings and natural leather variations
  • Each bag is handcrafted, so minor variations are normal
  • We reserve the right to make minor design modifications

12. Limitation of Liability

To the maximum extent permitted by law, MADNESS S.R.L shall not be liable for indirect, incidental, or consequential damages arising from product use or inability to use our services.

13. Force Majeure

We shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, labor disputes, or material shortages.

14. Governing Law

These Terms shall be governed by and construed in accordance with Italian law. Any disputes shall be subject to the exclusive jurisdiction of the courts of Prato, Italy.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services constitutes acceptance of modified terms.
